Terms of Service

CareOS LLC | Effective Date: September 16, 2026 | Last Updated: September 16, 2026
Applies to: careos.pro and all related products and services

These Terms of Service ("Terms") constitute a legally binding agreement between you and CareOS LLC ("CareOS," "we," "our," or "us") governing your access to and use of the CareOS website, AI voice agent platform, and related services (collectively, the "Services"). By accessing careos.pro or using any CareOS service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Services.

1. Eligibility and Account Use

Our Services are intended for healthcare professionals, practice administrators, and business operators. By using our Services, you represent that:

  • You are at least 18 years of age
  • You have the authority to bind your organization if you are accepting these Terms on its behalf
  • You will use the Services only for lawful purposes consistent with these Terms
  • All information you provide to CareOS is accurate, complete, and current

2. Services Description

CareOS provides an AI-powered voice receptionist platform designed for medical and dental practices. Services include automated call handling, appointment request management, insurance workflow automation, and related integrations. CareOS acts as a Business Associate under HIPAA when handling Protected Health Information (PHI) on behalf of covered entity clients, subject to a separate Business Associate Agreement (BAA).

3. SMS / Text Message Communications and Consent

This section governs your consent to receive SMS and MMS text messages from CareOS and is required for A2P 10DLC compliance under applicable U.S. carrier regulations and the Telephone Consumer Protection Act (TCPA).

3.1 Express Written Consent to Receive SMS

By submitting your mobile phone number through any CareOS form, landing page, or registration process, and by checking the SMS opt-in checkbox (where presented), you expressly consent in writing to receive automated SMS and MMS text messages from CareOS LLC at the mobile number you provide. These messages may include:

  • Demo request confirmations, scheduling reminders, and follow-up communications
  • Transactional notices related to your CareOS account or service requests
  • Promotional and marketing messages about CareOS products, features, events, or offers

Your consent is voluntary. You are not required to provide consent to receive SMS messages as a condition of purchasing or using any CareOS service. You may use our Services without opting in to SMS communications.

3.2 Nature of Consent — Not a Blanket Agreement

Agreeing to these Terms of Service alone does not constitute consent to receive SMS messages. SMS consent requires a separate, affirmative opt-in action, such as:

  • Checking a clearly labeled SMS opt-in checkbox on a web form
  • Responding to a keyword prompt sent to a CareOS number
  • Providing written or documented verbal consent recorded in our CRM

CareOS will not send marketing or promotional SMS messages based solely on your acceptance of these Terms.

3.3 TCPA Compliance

By opting in to SMS communications, you acknowledge and agree that:

  • CareOS may use automated dialing technology or pre-recorded messages for SMS delivery
  • You are the authorized subscriber or owner of the mobile number you provide
  • Your consent covers messages sent using automated systems as described under the TCPA, 47 U.S.C. § 227
  • CareOS is not responsible for any charges from your carrier related to SMS receipt

3.4 Opt-Out Rights

You may withdraw your SMS consent and opt out at any time by:

  • Replying STOP to any text message from CareOS — you will receive one final confirmation and no further messages will be sent
  • Emailing contact@careos.pro with "SMS Opt-Out" in the subject line
  • Contacting us directly using the information in Section 14

After opting out, CareOS will not send further promotional SMS messages to your number. Strictly transactional messages related to an active service request may continue unless you opt out of those separately.

3.5 HELP Requests

At any time, you may reply HELP to a CareOS text message to receive support information and contact details. You may also reach us at contact@careos.pro for SMS-related assistance.

3.6 Message Frequency and Rates

Message frequency varies. You may receive between 1 and 10 messages per month depending on your account activity and consent selections. Message and data rates may apply based on your mobile carrier plan. CareOS does not impose separate charges for SMS delivery.

3.7 No Resale or Sharing of Mobile Data

CareOS will not sell, rent, share, or transfer your mobile phone number or SMS opt-in consent data to any third party for their marketing purposes. Mobile numbers are used exclusively for the communications described in this Section 3.

4. AI Voice Call Communications and Consent

This section governs your consent to receive an automated demonstration phone call from CareOS and is required for TCPA compliance regarding artificial or prerecorded voice calls.

4.1 Express Consent to Receive AI Voice Calls

By submitting your mobile phone number through any CareOS form, landing page, or registration process, and by checking the AI voice call consent checkbox (where presented), you expressly consent to receive an automated demonstration phone call from CareOS LLC at the mobile number you provide. Your consent is voluntary. You are not required to provide consent to receive an AI voice call as a condition of purchasing or using any CareOS service.

4.2 Nature of the Call — Not a Live Person

Calls placed under this consent are conducted by an artificial-intelligence voice agent, not a live CareOS representative. The call is a product demonstration and typically lasts approximately five minutes. The AI voice agent identifies itself as an automated system at the start of the call.

4.3 Call Recording and Transcription

Calls may be recorded and transcribed so that CareOS can review call quality, train and improve the AI voice agent, and maintain a record of the demonstration provided to you. Recordings and transcripts are handled in accordance with our Privacy Policy and are not sold or used for advertising.

4.4 TCPA Compliance

By opting in, you acknowledge and agree that:

  • CareOS may use automated dialing technology and an artificial or prerecorded voice to deliver the call, as described under the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227
  • You are the authorized subscriber or owner of the mobile number you provide
  • CareOS is not responsible for any charges from your carrier related to receiving this call

4.5 Right to End the Call or Opt Out

You may end the call at any time by hanging up, or ask the AI voice agent during the call to stop future calls — no further AI voice calls will be placed to that number. You may also opt out by emailing contact@careos.pro with "AI Call Opt-Out" in the subject line and your mobile number in the message body, or by contacting us using the information in Section 14.

4.6 Call Frequency

Under this consent, CareOS will place one outbound AI voice demonstration call per request submitted. To schedule another, submit a new request.

4.7 No Resale or Sharing of Call Data

CareOS will not sell, rent, share, or transfer your phone number, call recording, or call transcript to any third party for their marketing purposes. Call data collected under this consent is used solely for the purposes described in this Section 4.

5. Acceptable Use

You agree to use CareOS Services only for their intended, lawful purposes. You may not:

  • Use the Services in violation of any applicable federal, state, or local law
  • Attempt to gain unauthorized access to any part of the platform or its systems
  • Transmit malware, spam, or any harmful or disruptive code
  • Use the Services to process or transmit PHI outside the scope of your BAA with CareOS
  • Resell or sublicense access to the Services without prior written authorization from CareOS
  • Reverse engineer, decompile, or attempt to derive source code from the platform

6. Intellectual Property

All content, technology, branding, software, and materials comprising the CareOS platform are the exclusive intellectual property of CareOS LLC or its licensors. Nothing in these Terms grants you ownership or license to use CareOS intellectual property beyond what is necessary to access the Services as a user or client. The CareOS name, logo, and product names are trademarks of CareOS LLC.

7. Privacy and Data

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference and available at careos.pro/privacy-policy. By using our Services, you acknowledge our data practices as described therein.

8. HIPAA and Business Associate Agreements

Healthcare clients who use CareOS to process, transmit, or store Protected Health Information (PHI) must execute a Business Associate Agreement (BAA) with CareOS prior to activation of those features. These Terms do not substitute for a BAA. CareOS's obligations with respect to PHI are governed solely by the executed BAA and applicable HIPAA regulations.

9. Disclaimers

THE CAREOS PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CAREOS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. USE OF THE SERVICES IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAREOS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF CAREOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL CAREOS'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU TO CAREOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless CareOS LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

12. Termination

CareOS reserves the right to suspend or terminate your access to the Services at any time, with or without cause or notice, if we believe you have violated these Terms or applicable law. You may discontinue use of the Services at any time. Termination does not affect any rights or obligations accrued prior to termination. Sections 3, 4, 6, 9, 10, 11, 13, and 15 survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall first be submitted to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA) in Dallas County, Texas. Nothing herein prevents either party from seeking injunctive relief in a court of competent jurisdiction.

CareOS reserves the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and notify you via email or a prominent notice on our website. Your continued use of the Services after such changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.

16. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and any executed BAA or service agreement, constitute the entire agreement between you and CareOS regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
